Terms of service for the EcomCart e-commerce platform subscription for businesses (B2B). [Draft — to be reviewed by a lawyer before launch.]
The service provider is WD Team, SIA, reg. No. 40203097825, VAT No. LV40203097825 (EcomCart). The customer is a legal entity or business that orders a subscription.
The service is use of the e-commerce platform on a subscription basis: online store setup, hosting, SSL, backups, platform updates and technical support according to the chosen plan.
Plan contents and prices are shown on the «Pricing» page. Prices are excl. VAT; VAT is added on the invoice at the applicable rate, or the reverse charge applies to EU businesses with a valid VAT number. There is no setup fee.
A lower monthly price applies with an annual contract. Invoices are issued [monthly / in advance — to be confirmed], payment term [… days — to be confirmed].
When paying monthly there is no minimum term. An annual contract runs for 12 months [renewal and termination rules — to be confirmed].
The plan can be changed at any time; the store, data and design are kept.
Store data (products, orders, customers) belongs to the customer, who can export it to Excel at any time. For buyers' personal data the customer is the controller and EcomCart the processor [data processing agreement — to be attached].
After termination data is kept for [… days — to be confirmed] and then deleted.
Technical support on working days, priority according to plan (Normal, High, Highest, VIP). [Availability target (SLA), planned maintenance windows and limitation of liability — to be confirmed.]
Contracts for payment and delivery services are concluded by the customer directly with the provider; EcomCart provides the technical connection.
